Terms of Service of Woobsy.com

1. Legal Definitions & Statutory Scope
1.1. Service Provider (Woobsy): Arian Fazel, conducting registered commercial activity in the Republic of Poland, owner and operator of the autonomous meta-search engine www.woobsy.com.
1.2. User: Any natural person of legal capacity, legal entity, or organizational unit accessing or utilizing the Platform.
1.3. Platform: The website www.woobsy.com, its subdomains, API endpoints, and Progressive Web Application (PWA) clients.
1.4. External Merchant: Any independent third-party retailer, e-commerce store, marketplace vendor, or seller whose publicly accessible listings are indexed by Woobsy.
1.5. AI Assistant: The artificial intelligence engine powered by Large Language Models providing conversational search and comparison assistance.
2. Acceptance of Terms & Electronic Contracting
2.1. Accessing or using the Platform constitutes full and unconditional acceptance of these Terms of Service, our Privacy Policy, and our Cookie Policy.
2.2. The contract for electronic services is concluded upon initiation of Platform usage. Core search services are provided free of charge.
3. User Eligibility & Minimum Age Gate
3.1. The Platform is strictly intended for individuals aged 16 or older (or the legal age of digital consent in your jurisdiction).
3.2. Minors lacking full legal capacity require verifiable authorization from a parent or legal guardian prior to using the Platform.
4. Account Registration & Session Security
4.1. Account registration is optional. Authentication is securely facilitated via Supabase Auth or Google OAuth.
4.2. You are solely responsible for safeguarding your credentials and session security against unauthorized access.
5. Scope of Services & Nature of the Platform
5.1. Woobsy functions as an autonomous e-commerce aggregator, price tracking engine, and AI search tool indexing 42+ global consumer markets in real time.
5.2. Woobsy does not sell, hold inventory, warehouse, ship, or inspect any physical goods displayed on the Platform.
6. Legal Model: Pure Intermediation & Referral
6.1. Woobsy acts strictly as a technical intermediary and search referral tool.
6.2. All purchase contracts are concluded directly between you and the External Merchant on their external website.
7. Absolute Disclaimer of Financial Services & Zero Custody
7.1. Woobsy is not a payment service provider, bank, or financial institution under PSD2.
Woobsy NEVER captures, processes, routes, stores, or handles credit card numbers, bank accounts, funds, or consumer payments. All monetary transactions take place entirely on external merchant checkout platforms.
8. Non-Merchant of Record (Non-MoR) Status
8.1. Woobsy does not act as Merchant of Record for any indexed transactions.
8.2. External Merchants bear sole legal liability for order fulfillment, tax compliance, warranties, returns, and statutory consumer remedies.
9. AI Shopping Assistant & EU AI Act (Regulation 2024/1689 Art. 50)
9.1. Pursuant to Article 50 of the EU AI Act, users are formally notified that conversational search recommendations are generated directly by an Artificial Intelligence system.
9.2. AI summaries and price trend predictions are advisory and synthetic.
- Generative AI models may occasionally produce erroneous, outdated, or hallucinated price data.
- You have a strict legal duty to verify final pricing, specifications, and availability on the merchant site prior to purchase.
- Woobsy disclaims all liability for commercial decisions based on AI outputs.
10. Commercial Affiliate Model & FTC 16 CFR Part 255 Standard
10.1. Woobsy participates in commercial affiliate partnerships (Amazon, eBay, AliExpress, Awin, CJ). We may earn a commission on qualifying purchases at zero extra cost to you.
10.2. In compliance with FTC Guidelines and European transparency rules, affiliate links are disclosed prominently. Search rankings remain algorithmically neutral and driven by price competitiveness.
11. Omnibus Directive (EU 2019/2161) Disclosures
11.1. Product offers originate from third-party traders. Consumer statutory rights apply directly against the External Merchant selling the product.
11.2. Default search rankings are sorted by price competitiveness and semantic query match.
12. Text & Data Mining (TDM) Reservation under Directive (EU) 2019/790
12.1. In accordance with Article 4(3) of Directive (EU) 2019/790, Woobsy expressly reserves all rights regarding automated scraping, text and data mining (TDM), and AI model training.
12.2. Commercial data harvesting without express prior written licensing is strictly prohibited.
13. Intellectual Property Rights & Limited License
13.1. All software, algorithms, brand trademarks, and database structures comprising Woobsy are protected by intellectual property laws.
13.2. Users receive a revocable, non-exclusive, non-transferable license for personal, non-commercial shopping discovery.
14. Acceptable Use Policy & Prohibited Conduct
14.1. Users must not probe security systems, execute DDoS attacks, bypass rate limits, inject malicious scripts, or submit unlawful content.
15. Cross-Border Transactions, Customs & Import Duties
15.1. When ordering goods from merchants outside your customs union, you act as the importer of record and are solely responsible for tariffs, customs VAT, and clearance fees.
16. International Sanctions & Geopolitical Embargo
16.1. In compliance with EU Council sanctions and UN resolutions, transactions and traffic originating from or destined for sanctioned jurisdictions (Russia, Belarus, Iran, North Korea, Syria, Cuba) are strictly prohibited and geo-blocked.
17. Disclaimer of Warranties ("AS IS")
17.1. The Platform and AI recommendations are provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WOOBSY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
18. Limitation of Liability & €50 Financial Cap
18.1. Woobsy shall not be liable for any indirect, incidental, consequential, or punitive damages arising from Platform use.
18.2. WOOBSY'S AGGREGATE LIABILITY SHALL IN ALL CASES BE LIMITED TO €50.00 (FIFTY EUROS) OR THE FEES PAID BY YOU IN THE PRECEDING 12 MONTHS.
18.3. This limitation does not affect statutory rights that cannot be waived under mandatory European consumer law.
19. Indemnification ("Hold Harmless")
19.1. You agree to defend and indemnify Woobsy from any third-party claims arising out of your violation of these Terms or transactions with External Merchants.
20. Digital Services Act (Regulation (EU) 2022/2065) Governance
20.1. Single Point of Contact for Authorities (Art. 11 DSA): dsa-authorities@woobsy.com. Official languages: Polish and English.
20.2. Single Point of Contact for Users (Art. 12 DSA): legal@woobsy.com. Official languages: Polish and English.
20.3. Notice & Action (Art. 16 DSA): Reports of illegal content sent to legal@woobsy.com are processed without undue delay.
20.4. Internal Complaint-Handling (Art. 20 DSA): Users may lodge internal complaints against content moderation decisions within 6 months.
20.5. Out-of-Court Dispute Settlement (Art. 21 DSA): Entitlement to certified out-of-court dispute settlement bodies.
20.6. Recommender System Transparency (Art. 27 DSA): Ranking parameters are price competitiveness, semantic relevance, and merchant reliability.
All content moderation and restriction decisions are reviewed under human oversight in an objective and non-discriminatory manner.
21. Technical Requirements & Electronic Services (UŚUDE)
21.1. Minimum technical requirements: Modern browser (Chrome, Safari, Edge, Firefox), active Internet connection, JavaScript, CSS, and cookies enabled.
21.2. Complaint Procedure: Platform complaints submitted to support@woobsy.com are handled within 14 calendar days.
22. Consumer Right of Withdrawal & Digital Performance Waiver
22.1. Consumers generally hold a 14-day statutory right of withdrawal from distance contracts.
22.2. For real-time free search executions, the user expressly acknowledges that service execution commences immediately upon executing a search query, waiving the right of withdrawal for completed search executions.
23. Account Suspension & Termination
23.1. Woobsy reserves the right to suspend accounts that violate these Terms. Users may delete their account at any time via Profile Settings.
24. Governing Law, Venue & Operator Details
24.1. These Terms are governed by the laws of the Republic of Poland and the European Union.
24.2. Disputes with commercial entities are subject to the exclusive jurisdiction of the competent court in Poland. Consumers retain mandatory statutory consumer venue rights.
